Our corporate and commercial team has extensive experience in providing legal advice on all aspects of M&A transactions for local, UK and international corporate clients, institutional investors and private individuals.

We advise both buyers and sellers on a wide range of transactions including private company acquisitions and disposals (shares and assets), joint ventures, takeovers and mergers, restructurings and reorganisations (including schemes of arrangement), equity investments, share buy backs and capital reorganisations.

Finance & Banking

Our corporate and commercial team provides advice on all aspects of financing transactions to both borrowers and lenders.

We have expertise in managing complex transactions but also advise local borrowers and lenders on both proposed and existing arrangements.

Securities & Listings

We have experience of advising on listings on The International Stock Exchange and Guernsey companies and funds listing on the London Stock Exchange which includes advising listed investment companies and listed unit trusts.

Investment Funds

Our team has an international reputation in offshore investment funds.

We advise on the formation, structuring and regulation of investment funds as well as providing ongoing legal advice to offshore funds and their managers and investors for the life of a fund up to dissolution.

In addition, we advise open-ended and closed-ended funds on financing as well as bank and non-bank lenders to those funds.

We have significant experience in advising on fund re-domiciliation including the re-domiciliation of existing funds as well as advising promoters moving offshore or between jurisdictions.
